Listings and event responsibilities

7.1 You must keep all information about your events up to date. We will not be responsible to any customer for information about events (including ticket availability) that proves to be inaccurate or misleading. From time to time, we may assist you with adding your events to the Website, updating those event details or providing tutorials on how to use the Website. However, you are still responsible for:

7.1.1 checking that any events added by us are accurate;

7.1.2 adding tickets to those events; and

7.1.3 keeping all information about your events up to date.

Please note that we are unable to add any tickets for sale to your Organiser Account.

7.2 Listings must accurately describe the event, including the identity of the Organiser, dates, times, location, age suitability, availability, prices including VAT, material accessibility information, and cancellation and refund conditions.

7.3 You are responsible for delivering your events and for all permissions, licences, insurance, safeguarding arrangements and appropriately qualified personnel they require.

7.4 You must comply with applicable consumer, advertising, health and safety, safeguarding, equality and data-protection law.

7.5 You may use your Organiser Account to post information about your events and any products or services you offer and to promote your business on your profile and listing pages only. Your profile will be publicly viewable and discoverable on search engines.

7.6 Publishing a Listing does not endorse, verify or approve you or your event. We do not guarantee any level of views, enquiries, bookings or sales.

7.7 Although we make reasonable efforts to update the information on our Website, we make no representations, warranties or guarantees, whether express or implied, that the content on our Website is accurate, complete or up to date.

7.8 Listings, profile pages and event descriptions must not include email addresses, telephone numbers, website addresses, booking links, social media handles, QR codes or other content that invites customers to enquire or book outside the Website, except in any fields we expressly provide for that purpose. We may edit or remove such content without notice, and repeated or deliberate breaches may result in suspension or closure of your Organiser Account under section 20. Loopla promotes your Listings on the basis that enquiries and bookings come through the Website.

8. Booking Enquiries

8.1 When an event is listed on the Website, a customer has the option of submitting a query in relation to booking onto this event (Booking Enquiry).

8.2 The customer will fill out a Booking Enquiry form which will contain the customer’s name, email address and telephone number (if provided). Once completed, both you and the customer will receive an email confirmation containing details about the listed event. Only you will receive the customer’s contact information. The Booking Enquiry form makes the customer aware that their details are being passed to you.

8.3 You must contact the customer directly within 24 hours of receipt of the Booking Enquiry, including weekends and public holidays. An automated acknowledgement alone does not satisfy this. Your response must address the enquiry or say when a full answer will follow.

8.4 You must monitor the address you use for enquiries, including spam folders, and keep your notification details up to date.

8.5 You must also make the customer aware of your own default terms and conditions, privacy policy, refund policy and any other policies that apply to the event in the Booking Enquiry.

8.6 A Booking Enquiry is not a confirmed booking. We are not responsible and shall not be held liable for any complaints by customers if you fail to confirm the details of the event (and any further details) to the customer within 24 hours.

8.7 You must not request Attendee Data through the Loopla Marketplace, including enquiry fields or messages sent through the Website. You may request it directly from the customer afterwards through your own lawful process, or collect it through a paid service we provide to you under separate terms.

8.8 Repeated failure to respond within 24 hours may result in restriction of enquiry functionality, suspension of Listings or termination under section 20.

9. Marketplace ticket sales

9.1 This section applies to Marketplace Bookings.

9.2 You are the supplier of the event. The contract for the event is between you and the customer. Loopla facilitates the booking and the collection and administration of payment through our payment provider.

9.3 You authorise us to accept bookings within the availability and conditions you configure. A booking is binding when confirmation is issued following successful payment.

9.4 You must make your booking terms and refund policy available to customers before purchase. They must comply with law and must not contradict the booking information on Loopla. You acknowledge and agree that we have no responsibility or liability where a customer has selected your default terms and conditions, privacy policy, refund policy and/or resale policy for an event or service listing.

9.5 After a customer has booked an event, we will send an email to them confirming the booking. We will provide you with the customer’s contact details and it is your responsibility to follow up with the customer to provide any necessary details (including ticket details) that might be required. You must do this within 24 hours of the booking being made by the customer.

9.6 Marketplace checkout collects purchaser and contact details only. You must not use Marketplace fields to collect Attendee Data. If attendee information is needed to deliver an event safely, you must collect it through your own lawful process off the Loopla platform, or through a paid service we provide to you under separate terms, and explain the requirement before purchase.

9.7 If Attendee Data is submitted through the Marketplace in breach of 9.6 or 8.7, you must notify us promptly and cooperate in removing it. You acknowledge that we have no responsibility or liability for any children’s personal data that is submitted to or imported onto your Organiser Account without the consent of the parent/guardian.

9.8 Users may post reviews of your business on your profile and on your listing pages, and we have no liability to you for the content of any such reviews or for any negative comments or reviews. If you believe that someone is posting reviews maliciously, please contact us and we will use reasonable endeavours to investigate, but we provide no guarantees as to the outcome of such investigation and we are under no obligation to investigate or to take any action. You must not maliciously post reviews about any other Organiser on that Organiser’s profile and if you do, your Organiser Account will be suspended or deleted. Organisers accept the full extent of our obligations is to consider any request for a review or posting to be removed.

10. Overbooking, overselling and fulfilment of bookings

10.1 Real-time ticket availability. You must ensure that ticket availability and event status displayed on the Website are accurate and kept up to date at all times. If an event becomes fully booked, you must immediately update the listing to reflect this or unpublish the event to prevent further bookings.

10.2 Obligation to honour bookings. You must honour all purchases of ticket(s) made by the customer. You are contractually obliged to honour all bookings made by customers through the Website by admitting ticket holders to the event and delivering the services purchased. You may only decline to honour a booking if doing so would breach applicable law, safety regulations or licensing conditions. We will have no responsibility if a customer raises a claim against an Organiser in relation to a booking.

10.3 Handling overbooking or unfulfilled bookings. If a booking occurs after an event is full, you must:

(a) honour the booking and admit the customer, unless doing so would be unlawful or unsafe; or

(b) if compliance with the booking would breach legal, safety or licensing requirements, immediately notify Loopla and the customer and request that Loopla issue a full refund to the customer.

Where a refund is required due to your failure to update ticket availability or any other error on your part, you are responsible for all associated payment processing fees (including Stripe fees) incurred by Loopla in connection with that booking. These fees will be deducted from future payments to you or invoiced to you directly.

10.4 Cancellations and changes. You must notify us promptly of cancellation, postponement, venue changes or any other material change affecting booked customers. Where a customer is entitled to a refund under law or your booking terms, you must authorise and fund it. You authorise us to issue a refund on your behalf where you instruct us, where the event is cancelled, where required by law, a payment-provider decision or a regulator, or where you fail to fulfil a booking and we reasonably determine the customer is entitled to one.

10.5 Communication with affected customers. If any customer is affected by overbooking or an unfulfilled booking, you must communicate promptly and clearly to explain the situation and, where a refund is necessary, assist them accordingly.

10.6 Consequences of breach. Failure to comply with this clause may be deemed a material breach of these Terms and may result in temporary suspension of your listings or Organiser Account, withholding of payouts, and/or permanent removal from the Loopla platform. Repeat or serious breaches may also entitle Loopla or affected customers to seek additional remedies under applicable law.

10.7 Compliance with consumer law. You are solely responsible for compliance with all applicable UK consumer protection and trading laws, including (but not limited to) the Consumer Rights Act 2015.

11. Commission, charges and payments to your account

11.1 Creating a Listing is free.

11.2 We will charge a 4.99% commission which is accounted for in the overall price of the ticket(s). This sum will be deducted from the total amount sent to you following any ticket(s) purchases by the customer.

11.3 Stripe payment-processing charges apply in addition to commission and are deducted from booking proceeds. The applicable Stripe charges are shown before you activate ticket sales.

11.4 We will provide transaction records showing ticket proceeds, commission, processing charges, refunds and payouts.

11.5 We will transfer you the sum due from the ticket(s) sold to a customer (minus our commission and any applicable Stripe fees) directly to the bank account details you provided when you registered your Organiser Account, within 30 days from the conclusion of the event that the ticket(s) have been sold for.

11.6 We may withhold amounts reasonably necessary to cover refunds, chargebacks, suspected fraud, verification issues or payment-provider reserves, and will explain the reason where legally permitted.

11.7 We may deduct amounts properly due under these Terms from payouts. Any balance you owe is payable within 14 days of invoice.

11.8 We are not responsible and shall not be held liable for any delays or issues with transferring payment owing to an error with the Stripe payment system.

Refunds, chargebacks and disputes

11.9 You acknowledge that Stripe does not return payment processing fees when a refund is issued. Except where a refund is required solely due to a proven error on our part, you are responsible for all associated payment processing fees (including Stripe fees) for any refunded transaction. These fees may be deducted from future payments to you or invoiced to you directly.

11.10 Where a booking is refunded in full, Loopla commission on that booking is returned. Where a booking is refunded in part, commission is returned proportionately. Stripe charges remain payable by you in accordance with 11.9.

11.11 You are also responsible for any additional fees, costs or charges arising from chargebacks, disputes or failed transactions related to your events, unless these result solely from a proven error on our part.

11.12 Where proceeds have already been paid to you, you must repay amounts due for refunds and chargebacks.

11.13 You must cooperate with payment disputes and provide evidence within the deadlines we communicate.

11.14 We will give at least 30 days’ email notice of changes to Loopla commission. Changes apply to bookings made after they take effect. Changes imposed by a payment provider will be notified as soon as practicable.

12. Data protection

12.1 Each party must comply with the UK GDPR and Data Protection Act 2018 as they apply to its activities.

12.2 Where you receive customer information from us to respond to an enquiry or fulfil a booking, you may use it only for that enquiry or booking, related customer service and your legal obligations. Marketing to those customers requires your own lawful basis. Neither party may represent that acceptance of these Terms gives the other marketing consent.

12.3 If you collect any personal data (including special category personal data e.g. children’s medical information) through or in connection with your Organiser Account, or upload or import any such personal data into your Organiser Account from outside the Loopla platform, you are responsible for ensuring that your collection of such personal data complies with all applicable laws including obtaining necessary consents from the parent/guardian.

12.4 Our handling of personal information, including information we hold about you as an Organiser, is described in our Privacy Policy.

12.5 Each party must promptly notify the other of a data incident, rights request or regulatory matter requiring the other’s involvement, and cooperate reasonably.

13. Changes to, suspending or withdrawing our Website

13.1 We may update the Website from time to time and may change any of the content that is uploaded by us or our licensors at any time, to address our users’ needs or to reflect our business priorities. We will try to provide you with reasonable notice of any major changes.

13.2 Please note we are under no obligations to update the Website.

13.3 Our Website is made available free of charge and on an “as is” and “as available” basis.

13.4 We do not guarantee that our Website, or any content on it, will always be available or be uninterrupted, free from errors or omissions. We may modify, suspend, discontinue, withdraw or restrict the availability of all or any part of our Website at any time without any liability to you. We will try to give you reasonable notice of any suspension or withdrawal.

13.5 You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

14. Support

14.1 We will use reasonable endeavours to provide assistance and fix any errors or issues with the Website that are within our reasonable control (e.g. server disruption). We will also, where possible, provide updates as to how we are progressing with any fixes that need to be made. We will not be liable for any losses, errors, mistakes, ordinary bugs, outages or negative customer experiences due to these errors or issues.

14.2 We are not responsible for any issues with the Website that are not within our reasonable control, and we are not liable for any losses, errors, mistakes, ordinary bugs, outages or negative customer experiences due to errors due to and/or issues with the Website which are outside of our reasonable control.

14.3 Support requests may be sent to hello@loopla.com. No support hours, response times or service levels apply unless expressly agreed in writing.

14.4 You are solely responsible for securing and backing up your content.

15. Intellectual property rights in the Website

15.1 Subject to clause 17, we are the owner or the licensee of all intellectual property rights in our Website, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

15.2 You may print off one copy, and may download extracts, of any page(s) from our Website for your personal use but you must not copy, reproduce, alter, modify or create derivative works from our Website or any content on it in any other way.

15.3 Our status (and that of any identified contributors) as the authors of content on our Website must always be acknowledged.

15.4 You must not use any part of the content on our Website for commercial purposes without obtaining a licence to do so from us or our licensors.

15.5 If you print off, copy or download any part of our Website in breach of these Terms, your right to use our Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

15.6 You must not copy or use (or attempt to copy or use) any part of our Website or share details that would enable others to copy or use (or attempt to copy or use) any part of our Website in any way except where such copying is incidental to your use of the Website in accordance with the Terms.

15.7 Except as expressly set out in these Terms, you must not copy or use all or any part of our Website or the content on it in any way that infringes our intellectual property rights or those of any third-party and you indemnify us for any breach of this obligation.

16. Websites that we link to

16.1 Our Website may contain links to other sites and resources provided by third parties.
